Terms and Conditions
	To be an authorized affiliate of B2BCI.COM, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the B2BCI.COM service as an affiliate. By signing up for the B2BCI.COM affiliate program, you indicate your acceptance of this agreement and its terms and conditions. These conditions are intended to govern the contractual relationship between: - CINETS Technologies Ltd, registered in Ivory Coast, headquartered 2 Plateaux, Immeuble DOUGA. CINETS Technologies is the owner and operator of the website www.b2bci.com - And any affiliate accepted by CINETS Technologies under its web site b2bci.com affiliate program. The affiliate is willing to display on its website (identified during the registration process) some hyperlink in order to redirect its visitor toward www.b2bci.com. In exchange, the affiliate will received a commission on the sale made by visitors of www.b2bci.com referred by the affiliate. CINETS Technologies has developed an affiliate program to allow website owners, webmasters, to display hyperlink redirecting their visitors from their respective website toward www.b2bci.com, (hereinafter referred to as "B2BCI.COM"). The affiliate’s website (hereinafter referred to as "affiliate’s website"), will display hyperlink through an icon, a banner or a search engine, pointing to B2BCI.COM allowing visitors of the affiliate’s website to be re-routed to B2BCI.COM and to proceed with a paid subscription membership type. In exchange for putting the hyperlink on the affiliate’s website, CINETS Technologies will pay the affiliate fees specify in the pricing structure of the affiliation program (See details on b2bci.com). The fee is calculated without VAT, and is owned by the affiliate on every single paid subscription made by visitors referred from the affiliate’s website. Acceptance of the affiliate by CINETS Technologies CINETS Technologies may reject any affiliate application if we determine, at our sole discretion, that a site is unsuitable for the Program. Unsuitable sites include those that: Promote sexually explicit materials Promote violence Promote illegal activities Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age The paid subscription made by visitors referred by the affiliate’s website is submitted to a paid subscription agreement concluded directly between the subscriber and CINETS Technologies. The relationship is managed by CINETS Technologies, which therefore is responsible of fulfilling its commercial obligations toward the subscriber. CINETS Technologies assumes full responsibility for processing the subscription and service delivery once visitors from the affiliate’s website subscribe to a paid membership type. CINETS Technologies will allow each affiliate to create a unique identifier and a confidential password allowing him to have a direct and permanent access to B2BCI.COM’s affiliate section. Through that section put at his disposal, the affiliate will be able to view detailed sales reports and compensation to which he is entitled. It is recalled that all related files remain the exclusive property of CINETS Technologies which will not disclose them to third. Obligations of the Affiliate Throughout this partnership, the affiliate will ensure that its website does not: Promote sexually explicit materials Promote violence Promote illegal activities Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age Change the html code provided by CINETS Technologies And the affiliate will ensure to: Remove from its affiliate’s website any reference to B2BCI.COM and CINETS Technologies, should this partnership agreement reach an end. The affiliate acknowledges that agreeing to the terms of the affiliation program is proof of his commitment and acceptance of these terms. Effective The partnership takes effect after acceptance of the affiliate by CINETS Technologies in its affiliation program. The affiliate should receive a confirmation e-mail enabling him to implement without delay on its website any form of link, banner or button containing a link to B2BCI.COM. The affiliate will have access to a database of links regularly updated by CINETS Technologies within which he can draw the ones fitting the design of his website. It is expressly agreed that access to programs and data contained on the site B2BCI.COM confers no right to these data and programs which remains the exclusive property of their authors. Compensation/Fee A compensation plan for the affiliate is considered only when CINETS Technologies has validated his participation to the affiliation program. The affiliate is paid only on sales performance traceable by his unique identifier code. Therefore, the member can not claim any compensation on an order that does not explicitly include his unique identifier code. Compensation will be calculated on without VAT amount of each sale generated by the affiliate’s site and after withdrawal of changes and cancellations made by paid subscribers from the affiliate’s website. The ‘’without VAT’’ amount is determined by CINETS Technologies, and varies according to its business strategy. This amount may be changed by CINETS Technologies without notice, according to the development and implementation of promotional strategies for a given period. Refer to commission pricing structure to determine commission range. The sales commission will be paid to the affiliate if the balance to be billed exceeds the sum of 100 U.S. dollars at the end of each current month. CINETS Technologies may stop at any time, temporarily or permanently, the provision of online services and / or its affiliation program without notice. Termination/Effect of Expiration This agreement is non-exclusive for duration of one year. And has a starting date as defined above. Each party may terminate it at any time without notice, warning the other party by e-mail. CINETS Technologies may terminate immediately upon notification to the affiliate, if the affiliate’s does not abide by one or several terms under these conditions. Upon termination, the affiliate must exercise his rights to the balance of his account within one month after such termination. Exceeding this limit, CINETS Technologies will not consider any fund application to be paid to the affiliate subject to the agreement termination. Disputes - Applicable Law This agreement is governed by the Ivorian law. In case of dispute concerning the interpretation, performance or breach of this agreement, the parties undertake to find an amicable agreement. Failing conciliation, the dispute shall be submitted to the Ivorian courts.
